TERMS & CONDITIONS

The following terms and conditions (collectively the “Summit Club Terms and Conditions” the “Terms”) contain important information regarding the Backcountry Summit Club. Please read these Summit Club Terms and Conditions carefully. By enrolling, purchasing a Summit Club+ membership, earning or redeeming cashback, or otherwise participating, you agree that these Terms are a binding agreement between you and Backcountry.com, LLC (“Backcountry”) and will govern your participation in the Backcountry Summit Club offers. Do not participate if you do not agree to these Terms. For information about how your personal information might be used, please see our Privacy Policy.

ELIGIBILITY AND ENROLLMENT

To participate in Backcountry Summit Club, you must be a legal resident of the fifty United States or the District of Columbia and be 18 years old. You agree as a condition of eligibility to participate in the Backcountry Summit Club, that the Backcountry.com Terms of Use (as updated from time to time) are incorporated as part of the Summit Club Terms and Conditions and agree to be bound by them. Employees of Backcountry are not eligible to participate in the Backcountry Summit Club.

Enrollment in Summit Club (free). An individual enrolls in the Summit Club tier by creating or logging in to a Backcountry.com customer account. Summit Club (free tier) members may upgrade to Summit Club+ at any time. If you choose not to renew Summit Club+, you’ll revert to the free tier after any cashback grace period ends.

Enrollment in Summit Club+ (paid subscription). An individual enrolls in Summit Club+ by purchasing the Summit Club+ on Backcountry.com, in Backcountry retail stores, or through a Backcountry Gearhead.

SUMMIT CLUB MEMBERSHIP PERIOD

Backcountry’s Summit Club will continue until terminated, suspended, modified, or converted to another rewards program by Backcountry. Any outstanding cashback or digital coupons that you have received will remain valid until expired, except as otherwise provided in a modification to these Terms.

Backcountry reserves the right to modify or change the Summit Club Terms and Conditions at its discretion, upon notice to Summit Club members.

SUMMIT CLUB BENEFITS (FREE)

Summit Club (free) members receive a 10% off birthday coupon each membership year, early access to select product drops, and promotions.

SUMMIT CLUB+ BENEFITS (PAID)

Summit Club+ (paid) members receive 10% cashback on the merchandise subtotal of each eligible order (excludes Gift Cards, Seel Worry-Free Delivery, tax, shipping, return labels, exchanges, event tickets, and the membership fee.), free 2-day expedited shipping on orders within the contiguous United States with a merchandise subtotal of US $150 or more, a dedicated personal Gearhead, a single 20% off birthday coupon each membership year, early access to select product drops, and promotions, and access to exclusive third‑party Partner Perks. Cashback and free shipping benefits are valid only on Backcountry and Competitive Cyclist websites and Backcountry retail stores.

SHIPPING BENEFIT (SUMMIT CLUB+ ONLY)

Summit Club+ members are entitled to free 2-day expedited shipping within the contiguous United States on qualifying orders with a merchandise subtotal of at least $150, calculated after discounts and before tax. Oversize, freight, hazardous‑material, bicycle shipments, shipments outside the contiguous United States and other excluded items are ineligible for this expedited shipping benefit. The benefit is available only for deliveries within the contiguous United States.

PARTNER PERKS (SUMMIT CLUB+ ONLY)

Backcountry may, from time to time and in its sole discretion, make available discounts, gifts, or other special offers from third‑party partners to Summit Club+ members. Such offers may be subject to additional terms imposed by the relevant partner, may be modified or withdrawn without notice, and are offered “as is.” Backcountry bears no responsibility for partner fulfillment.

EARNING AND REDEEMING CASHBACK

Summit Club+ members earn 10% cashback on the merchandise subtotal of each eligible order. No cashback is earned on taxes, shipping, gift cards, Seel Worry-Free Delivery, return labels, exchanges, event tickets, and the membership fee.

Cashback has no cash value and is non‑transferable. Cashback cannot be used to buy gift cards or to pay the Summit Club+ renewal fee.

If the order total is less than the available balance, only the amount necessary to cover the purchase will be applied.

CASHBACK EXPIRATION AND GRACE PERIOD

While a Summit Club+ membership remains active, cashback does not expire. Upon membership lapse (and except as otherwise provided for by law), a 60-day grace period commences, during which the member may use any cashback balance. If the membership is renewed within the grace period, cashback earned during that period is added to the balance, and all Summit Club+ benefits are reactivated immediately. Cashback remaining after the grace period is forfeited.

MEMBERSHIP RENEWAL, CANCELLATION & REFUNDS

Each membership term runs for 12 consecutive months beginning on the date of initial enrollment or renewal. Unless auto‑renewal is disabled, Backcountry will charge the card on file for the annual fee each year. Notice of the upcoming renewal will be sent at least 45 days in advance. Auto‑renewal may be disabled in the “My Account” section of Backcountry.com or by contacting a Gearhead at any time prior to the renewal charge.

The membership fee is non‑refundable if no benefit has been used within 90 days of purchasing a Summit Club+ membership. If no benefit has been used within 90 days, the fee will be refunded. Further, if a Summit Club+ membership may be refunded upon request by contacting a Gearhead within the first 90 days after purchase, as long as no benefit(s) have been used.

RETURNS AND ORDER ADJUSTMENTS

If merchandise purchased with Summit Club+ cashback benefits is returned or cancelled, Backcountry will deduct from the member’s balance any cashback originally earned on the returned items and restore to the member’s balance any cashback applied to the

returned items. Where the deduction results in a negative balance, future cashback earnings will first be applied to bring the balance to zero.

FRAUDULENT OR SUSPICIOUS ACTIVITY

Backcountry reserves the right to audit any Summit Club+ account at any time to ensure compliance with these Terms. If Backcountry determines, or reasonably suspects, that a member has engaged in fraud, abuse, or other prohibited conduct, Backcountry may, in its sole discretion, freeze or forfeit cashback, coupons, or other benefits, cancel orders or redemptions, and/or suspend or terminate the membership. Prohibited conduct includes, without limitation, creating multiple accounts for a single individual, purchasing for resale, employing automated scripts or bots to generate transactions, or manipulating returns to accrue disproportionate cashback. All determinations made by Backcountry under this Section are final
